Pax8 Beta and User Research Terms

These Pax8 Beta & User Research Terms (“Beta & Research Terms“) apply if you (“User“) participate in research, development or testing opportunities offered by Pax8, Inc. (“Pax8“) including programs, services, features, or functions identified as pilot, evaluation, alpha, beta, preview, limited release, early access or another similar description (“Early Access Offerings“) and research studies, panels, advisory groups and surveys about Pax8 products, features and services (“Research“). By participating in Early Access Offerings or Research, you agree to the following terms on behalf of the applicable User. If you do not have such authority or do not agree to these Beta & Research Terms, you may not access or use Early Access Offerings or participate in Research.
1. Early Access Offerings.
a. Limited License Grant. Pax8 grants you a limited, non-exclusive, non-transferable, revocable license to access and use Early Access Offerings for the purposes permitted and described by Pax8 subject to (i) these Beta & Research Terms, (ii) the documentation for the applicable Early Access Offering, and (iii) any other applicable Terms (as defined below). Early Access Offerings are for evaluation and internal testing purposes only, are not for production use, and may be subject to additional terms. Your right to use any Early Access Offerings will commence on the date Pax8 makes such Early Access Offerings available to you and will end on the earlier of the date the applicable Early Access Offering becomes generally available, or the date we discontinue the Early Access Offering.
b. Ownership Rights. We retain title, ownership rights, and intellectual property rights in Early Access Offerings. This includes, without limitation, (i) reports, data, assessments, analyses or compilations collected by, derived from, created by or returned by the Early Access Offerings, including any derivative works thereof; (ii) any improvements, design contributions or derivative works thereof, and (iii) any knowledge or processes related thereto. You acknowledge such ownership and intellectual property rights and will not take any action to jeopardize, limit or interfere in any manner with such rights. Early Access Offerings may be protected by copyright and other intellectual property laws and by international treaties. ALL RIGHTS NOT EXPRESSLY GRANTED UNDER THESE TERMS ARE RESERVED FOR PAX8.
c. Disclaimer of Warranties. Early Access Offerings have not yet been publicly released and may not perform at the level of a commercially available service, may not function or operate as expected and may be modified prior to release. EARLY ACCESS ARE THEREFORE PROVIDED ON AN “AS IS” BASIS, WITHOUT WARRANTY OF ANY KIND, INCLUDING WITHOUT LIMITATION THE WARRANTIES THAT THE EARLY ACCESS OFFERINGS ARE FREE OF DEFECTS, MERCHANTABLE, FIT FOR A PARTICULAR PURPOSE, OR NON-INFRINGING. YOU BEAR THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE EARLY ACCESS SERV. YOU ARE NOT AUTHORIZED TO USE THE EARLY ACCESS OFFERINGS EXCEPT UNDER THIS DISCLAIMER.
d. Disclaimer of Certain Obligations. Pax8 has no obligation under these Beta & Research Terms or otherwise to: (a) correct any bugs, defects or errors in the Early Access Offerings, or to provide any support, maintenance services, service levels or uptime guarantees for Early Access Offerings; (ii) store, hold, export, return, or destroy any data or content after an Early Access Offering terminates; or (c) create, distribute, or otherwise offer a publicly available version of Early Access Offerings.
2. Research.
a. Participation. Participation in Research voluntary and you may at any time choose to stop participating in Research by contacting Pax8.
b. Use of Data. If you accept an invitation to participate in Research in connection with various Pax8 products, services and features (including, but not limited to, Early Access Offerings), Pax8 may use any data or
information collected from you as part of your participation in the Research. We will process personal data in accordance with our Privacy Notice.
c. Fees and Incentives. If you are offered a participation fee or other incentive such as a gift card for your participation in Research, the amount and type of fee or incentive will be stated in the invitation. The participation fee or other incentive will be paid to you or redeemable as stated in the invitation.
3. Confidentiality. During participation in Early Access Offerings or Research, you may have access to or be exposed to, directly or indirectly, confidential information belonging to Pax8 or a third party (“Confidential Information“). Confidential Information includes, but is not limited to, (a) product plans, products in development, prototypes, alpha or beta products and associated materials, data or information, (b) unpublished research data and other non- public information, (c) information that is marked or designated confidential, and (d) any other information that a reasonable person would consider confidential, including studies, photos, videos, audio clips, audio visuals, and other media or documents based on Confidential Information.
a. Use of Confidential Information. You may only use Confidential Information as needed to participate in Early Access Offerings or Research (the “Purpose“) and you will not copy any Confidential Information.
b. Disclosure of Confidential Information. You agree not to disclose the Confidential Information to a third party without our prior written consent or to use the Confidential Information except as expressly permitted hereunder. You mut notify Pax8 immediately in writing if you become aware of any misuse or unauthorized disclosure of Confidential Information.
c. No Obligation. These terms do not impose any obligation on Pax8 to disclose any Confidential Information or grant you any rights in Confidential Information or Pax8’s intellectual property, except the limited right to use the Confidential Information for the Purpose.
4. Feedback. All information and data shared with us during participation in Early Access Offerings or Research, including suggestions, enhancement requests, recommendations, bug or error reports, photos, videos, audiovisuals, other media, comments, ideas or other feedback (“Feedback“) are the sole and exclusive property of Pax8. You grant Pax8 an exclusive, worldwide, royalty-free, sublicensable right and license to the Feedback agree to execute any documents necessary for Pax8 to obtain, maintain or exercise our ownership rights in Feedback. We have the express right to analyze Feedback using techniques using artificial intelligence and machine learning.
5. No Consequential Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PAX8 BE LIABLE FOR LOSS OF USE, LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, SPECIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN RELATION TO EARLY ACCESS OR RESEARCH.
6. Relationship to Other Terms. Below are some of the other rules that may apply to you depending on how you use the Pax8 Marketplace. We refer to the Beta & Research Terms, our Privacy Notice and these other rules collectively as the “Terms“. Additional terms are available on our website.
a. Pax8 Partner Terms. If you are a Pax8 Partner and resell Marketplace Products through the Pax8 Marketplace, these terms apply to you. You can read them here.
b. Specific Product Terms. If you are a Pax8 Partner, you are responsible for ensuring that you and your customers comply with any specific terms of use that relate to the Marketplace Products provided by third-party vendors. Pax8 is not party to any third-party product terms; those agreements are solely between you and the vendor.
c. Pax8 Direct Customer Terms. If you are purchasing Marketplace Products for your own internal use, these terms apply to you. You can read them here.
d. Pax8 Vendor Terms. If you are a third-party vendor selling your products or services in our marketplace, these terms apply to you. You can read them here.
e. Pax8 Professional Services Terms. If you use or purchase services supplied by Pax8, these terms apply to you. You can read them here. Please note that separate terms may apply to support services.
7. Miscellaneous. These Beta & Research Terms constitute the entire agreement between you and Pax8 regarding Early Access Offerings and Research, superseding any prior or contemporaneous agreements (provided that these term supplement, and do not supersede, any other Pax8 terms). These Beta & Research Terms are governed by the laws of the State of Colorado, excluding its conflict of law provisions. The provisions herein which require or contemplate performance after the expiration or termination shall be enforceable notwithstanding expiration or termination. You may not assign these Beta & Research Terms. You agree and understand that we may update, amend or modify these Beta & Research Terms at any time. If the changes are material, we’ll let you know in advance by posting the changes on our website and/or sending you an email or message about the changes. By participating in Early Access Offerings or Research after these Beta & Research Terms are modified, you agree to be bound by the modified terms.
